This Membership Agreement is between Ark Drive Club LLC ("Ark") and the person enrolling as a member (the "Member"). By checking the agreement box and selecting Join Ark, the Member agrees to these terms and authorizes the selected payment.
1. Membership plans
The Member selects one of the following plans at checkout:
- Silver Monthly: $250 per month; 1 credit after each successful payment.
- Gold Monthly: $500 per month; 2 credits after each successful payment.
- Silver Annual: $2,750 prepaid; 12 credits available after successful payment.
- Gold Annual: $5,500 prepaid; 24 credits available after successful payment.
There is no initiation fee. Platinum is not part of this Agreement.
Monthly memberships renew automatically each month until canceled. Annual memberships renew automatically each year until canceled. Ark will disclose the selected plan, billing cadence, amount due, and renewal terms before payment.
2. Credits
Credits provide access to eligible Ark vehicles, subject to availability, driver eligibility, and the credit requirement shown before booking.
- Silver Monthly may hold up to 3 monthly plan credits.
- Gold Monthly may hold up to 6 monthly plan credits.
- On a successful monthly renewal, Ark adds the new plan credit allocation. Monthly plan credits above the applicable limit expire.
- Silver Annual credits remain available during the paid membership year. At renewal, up to 3 unused plan credits carry forward.
- Gold Annual credits remain available during the paid membership year. At renewal, up to 6 unused plan credits carry forward.
- If an annual plan does not renew, unused annual plan credits remain frozen for 90 days and then expire.
- Members may purchase Extra Credits through the Wallet at the prices shown before payment: 1 credit for $375, 5 credits for $1,750, 10 credits for $3,250, or 11–100 Custom Reserve credits at $325 each. Purchased credits do not expire, sit outside the monthly rollover limit, and have no cash value. They freeze while the purchasing membership is inactive.
- Referral credits are promotional, expire 90 days after issue, and have no cash value.
Ark may change a vehicle's future credit requirement as the fleet and operating costs change. A confirmed reservation will not be repriced.
3. Membership benefits
Membership includes:
- Access to eligible Ark vehicles through the Ark App.
- 100 miles per vehicle-day, pooled across consecutive days in the same reservation.
- Delivery within Ark's published Miami core service area with normal advance notice, subject to availability.
- Standard post-drive detailing.
- Biweekly member gatherings, subject to RSVP and capacity.
- Member community access and priority booking communications.
- Gold members may gift credits identified as eligible in the Ark App to any recipient by email or text. The recipient redeems the gifted credits in the Ark App. Before booking or driving, the recipient must satisfy Ark's normal identity, age, driver's-license, insurance, approval, payment-method, agreement, and other eligibility requirements. Sending credits does not authorize the recipient to book or drive. The selected credits are held while redemption is pending; the Gold member may cancel before redemption. Once redeemed, the transfer is final. Credits may not be sold or exchanged for cash.
Signature experiences and partner events may have separate member pricing. Membership does not guarantee any particular vehicle, date, delivery time, event, or guest access.
4. Driver eligibility
Membership access begins after successful payment. Vehicle booking requires:
- A minimum age of 21.
- Identity verification.
- A valid U.S. driver's license.
- Qualifying U.S. personal automobile insurance with at least $100,000 in property-damage liability and collision and comprehensive coverage applicable to the booked vehicle.
International drivers or insurance require Ark's prior approval. Only the Member and separately approved additional drivers may operate an Ark vehicle. The Member must keep licensing, insurance, contact, and payment information current.
If Ark determines that a new Member cannot qualify to drive, Ark may cancel the membership and refund amounts paid, less any valid nonrefundable or incurred charges disclosed before payment.
5. Payment authorization
The Member authorizes Ark and Stripe to store the selected payment method and charge it for:
- Recurring monthly or annual membership payments.
- Extra Credits and extensions the Member affirmatively confirms.
- The first-60-day member-pricing adjustment described below.
- Disclosed mileage overage, tolls, tickets, refueling, late return, cleaning beyond normal use, damage, loss, and other reservation charges.
- A temporary card authorization disclosed for a reservation or vehicle release.
Ark does not store raw card details. Charges will be receipted or itemized through Stripe, the Ark App, or email.
The Member should notify Ark promptly of a disputed charge and provide reasonably available supporting information. Ark will review disputes in good faith and correct confirmed errors. Fraudulent or knowingly false chargebacks are a material breach. After notice and a reasonable opportunity to cure, the Member is responsible, to the extent permitted by law, for reasonable third-party costs of collecting valid unpaid amounts.
6. Skip, plan changes, and failed payments
Monthly Members may skip up to 2 consecutive billing months. A skipped month has no membership charge and issues no new plan credits. Existing credits remain unchanged, and billing resumes automatically after the selected skip.
- Silver to Gold: effective immediately after confirmation and payment of the prorated difference; 1 additional plan credit is issued for the current period.
- Gold to Silver: effective on the next renewal.
- Annual plan changes: effective at annual renewal.
If a renewal payment fails, Ark issues no new credits and may restrict new bookings and extensions. Stripe may retry payment for 7 days. If payment remains unresolved, Ark may end membership at the close of the paid period.
7. Cancellation and reactivation
The Member may cancel at any time. Cancellation takes effect at the end of the current paid period. Payments already made are not prorated or refunded merely because benefits or credits were unused.
- Reservations after the membership end date are canceled.
- Unused monthly plan credits freeze for 90 days after cancellation and then expire.
- Purchased Extra Credits remain on the account but require active membership to redeem.
- Reactivation has no fee and restores credits that remain valid.
- Rejoining or reactivating restarts the first-60-day member-pricing period.
8. First-60-day member-pricing adjustment
Cancel anytime. If the Member uses the fleet and cancels during the first 60 days after joining or rejoining, completed drives are adjusted to the public 100-mile rental rate, less eligible membership and Extra Credit payments already applied.
This adjustment:
- Applies only to monthly memberships.
- Does not apply if the Member completed no drives.
- Uses the public 100-mile daily rate displayed when each completed drive was booked.
- Subtracts membership payments made during the same 60-day period and the purchase price of Extra Credits redeemed on those drives.
- Cannot be less than $0.
- Does not include taxes, mileage overage, tolls, refueling, damage, or other incidental charges, which remain separate.
Ark will show the protection end date in the Member's account, disclose the possible adjustment before a drive during this period, and show the final amount before an early cancellation is confirmed.
9. Reservations and vehicle rules
Each reservation requires separate acceptance of a Booking Summary and the current Booking and Vehicle Use Agreement. Those records state the vehicle, dates, credit cost, mileage, overage, delivery or pickup, cancellation deadline, card authorization, and other drive-specific terms.
Reservations remain subject to vehicle availability, maintenance, safety, payment status, and driver eligibility. Ark may offer a reasonable substitute when a confirmed vehicle becomes unavailable.
10. Conduct, suspension, and termination
The Member may not share account credentials, resell access, sublease a vehicle, allow an unauthorized driver, disclose nonpublic member information, vehicle locations, access codes, or security procedures, or use Ark property or member information improperly. Fraud, nonpayment, unsafe or illegal conduct, material misrepresentation, harassment, or serious rule violations may result in immediate suspension or termination. Valid charges and obligations survive suspension or termination.
11. Events, guests, and media
Events and facilities are subject to capacity, house rules, safety requirements, and separate pricing where disclosed. The Member is responsible for the conduct and charges of the Member's guests. Guests may not drive unless separately approved.
Ark events may be photographed or recorded. Ark may use event imagery for ordinary Club marketing. A Member may ask Ark not to use identifiable future content where reasonably practicable. Ark will not publish private payment, license, insurance, or account information.
12. Electronic records and communications
The Member agrees to receive membership, payment, booking, safety, and account communications electronically. The electronic acceptance record, this Agreement, and each accepted Booking Summary have the same effect as signed paper records.
Ark will retain the Agreement version, accepted text or hash, Member identity, selected plan, timestamp, Stripe identifiers, and available acceptance evidence. Ark will email a durable copy or permanent link after payment.
13. Disputes and general terms
Florida law governs this Agreement. To the extent permitted by law, disputes will be resolved by individual binding arbitration in Miami-Dade County, Florida, with qualifying small-claims and injunctive relief preserved. The parties waive jury trials and class, collective, or representative proceedings to the extent enforceable.
This Agreement, accepted Booking Summaries, the Booking and Vehicle Use Agreement, and incorporated Club rules form the entire agreement concerning the membership. The Member may not assign the membership without Ark's written approval. Ark's failure to enforce a provision once is not a waiver. If one provision is unenforceable, the remaining provisions continue. Ark may update operational rules and future vehicle credit requirements prospectively with reasonable notice, but confirmed reservations will not be repriced.
Required checkout acknowledgment
I agree to the Ark Membership Agreement, recurring billing for my selected plan, and the first-60-day public-rate adjustment. I authorize Ark and Stripe to store my payment method and charge the amounts I affirmatively purchase or incur under these terms.
